April 12, 2013 Reno, NV - NuLegacy Gold Corporation (NUG:V) reports that it has completed an initial closing of the non-brokered private placement announced April 10, 2013. To date the Company has sold a total of 8.1 million units (the "Units") of the 10 million offered at a price of $0.10 per Unit for gross proceeds of $810,000.
Each Unit consists of one common share and one share purchase warrant, with each warrant entitling the holder thereof to purchase one additional common share of the Company for a period of 24 months, subject to acceleration, at a price of $0.15 during the first 12 months and $0.20 during the last 12 months.
The net proceeds of the financing will be used to finance the Company's gold exploration programs on its Red Hills project in Nevada, United States and for general corporate purposes.
All securities issued in connection with the initial closing are subject to a four month and one day hold period expiring August 12, 2013.
NuLegacy Gold Corporation is a Nevada based exploration company focused on delineating a Carlin-type near-surface oxide Iceberg gold resource on its 87 square km Red Hill option (to joint-venture with Barrick Gold).
